GMPharma Consulting – Terms of Contract

1. Parties

This Contract (“Agreement”) is made between:
- GMPharma Consulting (“Consultant”), based in Sydney, Australia
- Client (“Client”), as identified in the accompanying engagement form

2. Scope of Services

Consultant will provide services including, but not limited to:
- Equipment, Facility, and Computer System Qualification & Validation
- GMP Readiness, Audits, and Certification Support
- Quality Management System (QMS/eQMS) Implementation & Support
- Validation Consultancy, Vendor/Supplier Audits, Facility/Cleanroom Design, Audit Findings and Responses, and Technical Writing

The specific deliverables, timelines, and responsibilities will be outlined in individual project proposals or statements of work.

3. Fees and Payment

- Fees will be charged as agreed per project, milestone, or hourly rate.
- Payments are due within 14 days of invoice unless otherwise agreed.
- Late payments may incur interest at a rate of 2% per month.

4. Confidentiality

Consultant and Client agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the engagement.

5. Intellectual Property

- All materials produced by Consultant remain the property of Consultant unless otherwise agreed.
- Client is granted a non-exclusive, non-transferable license to use deliverables for their intended purpose.

6. Termination

Either party may terminate this Agreement with 14 days written notice.
- Client remains responsible for payment of services rendered up to the termination date.

7. Liability

The consultant will perform services with due care and skill. Liability is limited to the total fees paid under this Agreement. Consultant is not liable for indirect or consequential losses.

8. Compliance

Consultant provides services in compliance with EMA/TGA/FDA regulations and applicable industry standards. Client is responsible for ensuring local regulatory compliance where applicable.

9. Governing Law

This Agreement shall be governed by the laws of New South Wales, Australia.

10. Acceptance

By signing below, the Client agrees to the terms of this Agreement:
